CreatorHQ — Terms of Service

By accessing or using CreatorHQ, you confirm that you are at least 16 years of age (or the age of digital consent in your jurisdiction, whichever is higher), have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy. If you are using CreatorHQ on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

CreatorHQ is a SaaS platform that helps content creators manage brand deals, track deliverables, generate invoices, and analyze business performance. The platform includes AI-powered features to assist with negotiation, rate card generation, and deal management.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice, including AI-powered features where changes in third-party provider terms require it.

To use CreatorHQ, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to terminate accounts that violate these Terms, that we determine, in our sole discretion, are harmful to the platform or other users, or that have been inactive for an extended period, with advance notice where feasible.

4.1 Subscription Plans. CreatorHQ is offered on a subscription basis at $29.99 USD per month or $199.00 USD per year ("Pro Plan"). Annual subscribers receive a discounted effective rate compared to monthly billing. Pricing is subject to change with 30 days' notice to active subscribers.

4.2 Free Trial. New accounts receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, continued access requires a paid subscription.

4.3 Billing. Subscriptions are billed monthly in advance. Payment is processed by Stripe. By providing payment information, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

4.4 Cancellation and Refunds. You may cancel your subscription at any time through your account billing settings. Cancellation takes effect at the end of the current billing period. All payments are non-refundable, including for partial billing periods, feature downgrades, or unused time, except where required by applicable law.

4.5 Failed Payments. If a payment fails, we will attempt to process it again. If payment remains outstanding after reasonable attempts, your account may be suspended until payment is resolved.

You agree to use CreatorHQ only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the platform to transmit spam, malware, or harmful content
• Attempt to gain unauthorized access to any part of the platform or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the service
• Resell, sublicense, or otherwise transfer access to CreatorHQ to third parties
• Use the platform in any way that could damage, disable, or impair the service
• Violate any applicable laws or regulations in connection with your use of the service
• Misrepresent your identity or affiliation when using the platform

6.1 Ownership. You retain ownership of all content and data you create, upload, or input into CreatorHQ, including deal information, brand contacts, invoice data, and notes ("Your Content").

6.2 License to Us. By using CreatorHQ, you grant NovelLogic a limited, non-exclusive license to store, process, and display Your Content solely to provide the service to you. We do not claim ownership of Your Content.

6.3 AI Use and Data Processing. When you use AI-powered features (such as negotiation drafting or rate card suggestions), your input may be processed by our AI provider (Anthropic, Inc.) in accordance with their usage policies. We do not use your deal data to train AI models without your explicit consent. We are not responsible for the accuracy or completeness of AI-generated output and disclaim all liability arising from reliance on it. We may modify or limit access to AI-powered features at any time given changes in third-party provider terms.

6.4 Data Export and Deletion. You may export your data at any time through your account settings. Upon account deletion, we will delete your personal data within 30 days, except where retention is required by law or for legitimate business purposes such as billing records. Security logs and system backups may persist for a reasonable period beyond this window for operational and audit purposes. Anonymized or aggregated data may be retained for platform analytics.

CreatorHQ integrates with third-party services including Gmail, YouTube, Instagram, TikTok, Outlook, and Stripe. Your use of these integrations is subject to the respective platform's terms of service and privacy policies. We are not responsible for the practices or policies of third-party services.

You authorize us to access and use data from connected third-party accounts solely to provide CreatorHQ functionality to you, as described in our Privacy Policy.

CreatorHQ and all related software, design, trademarks, and content (excluding Your Content) are the intellectual property of NovelLogic Ventures Inc. and are protected by applicable copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without our prior written consent.

CreatorHQ is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

AI-generated content (including negotiation drafts, rate suggestions, and deal summaries) is provided for informational purposes only and does not constitute legal, financial, or professional advice. We are not responsible for the accuracy or completeness of AI-generated output. You are solely responsible for any decisions made based on AI-generated output.

We do not guarantee any particular outcome from using CreatorHQ, including income generation, deal success, or brand partnership results.

To the maximum extent permitted by applicable law, NovelLogic Ventures Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use CreatorHQ, including but not limited to lost profits, lost data, or business interruption.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim.

You agree to indemnify and hold harmless NovelLogic Ventures Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of CreatorHQ, violation of these Terms, or infringement of any third-party rights.

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you violate these Terms, engage in conduct we determine to be harmful to the platform or other users, or for operational reasons with advance notice where feasible.

Upon termination, your right to access CreatorHQ ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitation of liability.

Before initiating any formal legal claim against NovelLogic, you agree to contact us at [email protected] to attempt to resolve the dispute informally. Both parties will make a good-faith effort to resolve the matter within 30 days of the initial contact. This requirement does not prevent either party from seeking emergency injunctive relief where necessary.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts located in Victoria, British Columbia, Canada.

We may update these Terms from time to time. We will notify active subscribers of material changes by email at least 14 days before they take effect. Your continued use of CreatorHQ after changes take effect constitutes acceptance of the updated Terms.
